1. Introduction

These Affiliate Programme Terms (the “Affiliate Terms”) form a binding agreement between you (the “Affiliate”, “you”, “your”) and Aureans Analytics Ltd (trading as Hichers), a private limited company registered in England and Wales under company number 14132580, with its registered office at 7 Bell Yard, London, England, WC2A 2JR (“Hichers”, “we”, “us”, “our”).

The Hichers Affiliate Programme (the “Programme”) allows you to earn commission by referring business customers (“Referred Shops”) who subscribe to Hichers’s loyalty platform services.

These Affiliate Terms incorporate by reference our Privacy Policy and Business Terms & Conditions. In the event of a conflict between these Affiliate Terms and any other Hichers terms, these Affiliate Terms shall prevail in respect of the Programme.

2. Eligibility and application

2.1. To be eligible to participate in the Programme, you must:

  • Be at least 18 years old and have the legal capacity to enter into a binding contract.
  • Provide accurate, current and complete information when applying.
  • Comply with all applicable laws and regulations, including tax laws in your country of residence.
  • Be approved by Hichers following review of your application.

2.2. Existing Hichers business customers are eligible to participate in the Programme and may refer other businesses on the same terms as any other Affiliate.

2.3. Hichers reserves the right to accept or reject any application at our sole discretion, without obligation to provide a reason. We may also limit, suspend or close the Programme to new applicants at any time.

2.4. Approval into the Programme creates a non-exclusive, non-transferable right to participate. It does not create an employment, agency, partnership, joint venture or franchise relationship between you and Hichers. You are an independent contractor and have no authority to bind Hichers in any way.

3. Commission plans

3.1. Hichers offers two commission plans. You must select one plan when accepted into the Programme. The plans are:

3.1.1 The Builder plan (escalating)

  • Year 1: 20% of Net Revenue from each Referred Shop.
  • Year 2: 25% of Net Revenue from each Referred Shop.
  • Year 3: 30% of Net Revenue from each Referred Shop.
  • Year 4 and beyond: 20% of Net Revenue from each Referred Shop, for as long as the Referred Shop remains a paying Hichers customer.

3.1.2 The Promoter plan (flat)

  • All years: 20% of Net Revenue from each Referred Shop, for as long as the Referred Shop remains a paying Hichers customer.

3.2. “Net Revenue” means the subscription fees actually received by Hichers from a Referred Shop in the relevant period, net of any refunds, credits or chargebacks issued to that shop, but gross of payment processor fees, taxes, or any other deductions.

3.3. Year boundaries. A “Year” for the Builder plan is a 12-month period beginning on the date the Referred Shop was first attributed to you (the “Attribution Date”). Year 2 begins on the first anniversary of the Attribution Date; Year 3 begins on the second anniversary; Year 4 begins on the third anniversary. Year boundaries are calculated per Referred Shop, not per Affiliate.

3.4. Commission does not apply to:

  • Set-up fees, one-off hardware sales, professional services charges, or any non-subscription revenue.
  • Refunds issued to a Referred Shop (these reduce Net Revenue for the relevant period).
  • Trial periods, free months, or any period for which Hichers did not receive payment from the Referred Shop.
  • Periods when the Referred Shop’s subscription is suspended or cancelled.

4. Switching plans

4.1. You may switch between the Builder and Promoter plans at any time by changing your plan selection in your Affiliate dashboard.

4.2. A switch only affects Referred Shops attributed to you after the switch takes effect. Referred Shops attributed under the previous plan continue to earn commission under that plan for the life of the attribution.

4.3. Switches take effect immediately for the purpose of new attributions. Once a Referred Shop has been attributed to you, the plan under which it was attributed is locked and cannot be changed by either party.

5. Attribution and tracking

5.1. When you are approved into the Programme, you will be issued one or more unique referral links (“Affiliate Links”) by Hichers.

5.2. Cookie window. When a prospective customer clicks an Affiliate Link, a cookie is placed on their device that identifies you as the referring Affiliate. This cookie expires 90 days after the most recent click on any Affiliate Link belonging to you.

5.3. Attribution model. A Referred Shop is attributed to the Affiliate whose Affiliate Link was most recently clicked by the relevant device within the 90-day cookie window prior to the shop completing signup (a “last-touch” attribution model). If multiple Affiliates have clicks within the window, the most recent click wins.

5.4. Re-signups. If a Referred Shop cancels their Hichers subscription and re-subscribes within 90 days of cancellation, the original Affiliate retains attribution. If the gap exceeds 90 days, attribution is reset and a new attribution may be made (subject to a new Affiliate Link click within the cookie window).

5.5. No retroactive attribution. You will not receive commission for any business that was already a Hichers customer before being attributed to you, regardless of subsequent activity. Attribution applies only to new shop signups.

5.6. Plan changes by Referred Shops. If a Referred Shop upgrades, downgrades or otherwise changes their Hichers subscription plan, your commission scales automatically with the new Net Revenue from the next billing cycle onwards.

5.7. You acknowledge that attribution depends on technical mechanisms (cookies, signup forms, device identifiers) and may be affected by factors outside Hichers’s control, including user privacy settings, browser configurations, ad blockers, and device changes. Hichers does not guarantee perfect attribution and you accept this as a condition of participation.

6. Payment of commissions

6.1. Payout cadence. Commissions are calculated and paid quarterly in arrears, based on calendar quarters:

  • Q1 (January – March), paid by 15 April.
  • Q2 (April – June), paid by 15 July.
  • Q3 (July – September), paid by 15 October.
  • Q4 (October – December), paid by 15 January of the following year.

6.2. Calculation. Each quarter, Hichers will calculate Net Revenue from each of your active Referred Shops for that quarter and apply the appropriate commission rate based on the plan under which the shop was attributed and the Year boundary applicable to that shop.

6.3. Minimum payout threshold. The minimum commission amount payable in any quarter is approximately £100 in the relevant currency. The specific threshold per currency is set out in the table below. If your calculated commission for a quarter (in a given currency) is below the threshold for that currency, the amount will carry forward and be added to the next quarter’s payout in that currency until the threshold is met.

6.4. Refunds and chargebacks. If a refund, credit or chargeback is issued to a Referred Shop in a quarter, the associated commission is deducted from your next payout. If the deduction exceeds your accrued commission for that quarter, the negative balance will be carried forward and offset against future commissions.

6.5. Payment method. Payouts are made by bank transfer to the account you nominate in your Affiliate dashboard. You are responsible for keeping these details accurate and current. Hichers is not liable for payments made to incorrect details supplied by you.

6.6. Currency. Each Referred Shop subscribes to Hichers in a single currency, chosen at signup based on the shop’s country (one of: GBP, EUR, USD, CAD, AUD, SGD; or USD as the default for countries outside that list). Commissions in respect of each Referred Shop are calculated and paid in the same currency as that shop’s subscription. Where you have Referred Shops across multiple currencies, you will receive separate quarterly payouts in each currency, and the minimum payout threshold applies per currency (see clause 6.3 above). If your bank account is held in a different currency than a given payout, your bank’s exchange rate and any conversion fees apply and are your responsibility.

6.7. Taxes. You are solely responsible for all taxes, levies, contributions and similar charges arising from your receipt of commission, including income tax, national insurance, social security contributions, and (if applicable) VAT. Commission payments are made gross of any such taxes. If you are VAT-registered, you must provide Hichers with a valid VAT invoice for each payout; we will then pay the amount inclusive of VAT against that invoice. You warrant that you will declare and pay all taxes due in your country of residence.

6.8. Withholding. Hichers may withhold any commission payment where we reasonably suspect fraud, breach of these Affiliate Terms, or where required to do so by law. Withheld commissions will be released or forfeited following review.

7. Your obligations

7.1. You agree to promote Hichers in a professional, accurate and lawful manner, and to comply with all applicable laws and regulations, including (without limitation) the UK Consumer Protection from Unfair Trading Regulations 2008, the UK Advertising Standards Authority (ASA) Code, the UK Privacy and Electronic Communications Regulations 2003, and the UK GDPR.

7.2. You must:

  • Disclose your status as a Hichers Affiliate in any promotion, in line with ASA guidance on affiliate marketing disclosure.
  • Use only marketing materials supplied or approved by Hichers, or your own original content. You may not modify Hichers logos, trademarks, or copy without our written permission.
  • Direct traffic to the official Hichers website (hichers.store and hichers.com) using your Affiliate Links. You may not direct traffic to mirror sites, framed sites, or any third-party site that purports to be Hichers.
  • Ensure that any claims you make about Hichers are accurate, current, and not misleading.

7.3. You must not:

  • Bid on Hichers brand keywords (including but not limited to “Hichers”, “Aureans”, “hichers.store”, “hichers.com”, and obvious misspellings) in paid search advertising, unless explicitly authorised by Hichers in writing.
  • Use the Hichers name or trademarks in your domain name, social media handles, email subject lines, or any other context that would imply you are Hichers or speak on behalf of Hichers.
  • Engage in spam, including unsolicited email marketing in breach of the UK PECR, or any practice that would damage Hichers’s reputation.
  • Make any claims, representations, or warranties about Hichers, its services, pricing, performance, security, or future features that are not expressly approved by Hichers.
  • Offer rebates, cashbacks, gifts, or any other inducements to prospective Referred Shops in exchange for using your Affiliate Link, unless explicitly authorised by Hichers in writing.
  • Use the Programme to refer your own business, businesses you own, control, or have a beneficial interest in, businesses operated by your immediate family members, or any other business with which you have a relationship that creates a conflict of interest (a “Self-Referral”).
  • Attempt to manipulate, defraud, or circumvent the attribution or commission calculation systems, including (without limitation) by creating fake clicks, fake signups, fake businesses, multiple Affiliate accounts, or by inducing genuine signups to use Affiliate Links they would not otherwise have clicked.
  • Promote Hichers on any site or platform that contains adult content, illegal content, content promoting violence or discrimination, content infringing third-party intellectual property, or any other content that would be reasonably considered objectionable.

7.4. You agree that Hichers may monitor your promotional activities and request information from you about your channels, audience, and methods, and that you will cooperate promptly with any such request.

8. Self-referrals and fraud

8.1. Self-Referrals are strictly prohibited (see clause 7.3 above). Hichers operates automated and manual systems to detect Self-Referrals, including checks against business owner identity, payment methods, addresses, IP address clusters, and email domain similarity.

8.2. If we detect or reasonably suspect a Self-Referral, we may:

  • Reverse the attribution and forfeit any commission attributable to the referral.
  • Suspend your Affiliate account pending investigation.
  • Terminate your Affiliate account for cause under clause 11.
  • Recover any commission already paid in respect of the Self-Referral.

8.3. Other forms of fraud, including but not limited to fake clicks, cookie stuffing, typosquatting, fake account creation, paid traffic from incentivised sources without disclosure, or any attempt to circumvent attribution mechanisms, will be treated equivalently.

8.4. Hichers’s determination of whether conduct constitutes a Self-Referral or fraud is final, subject to your right to provide evidence in response.

9. Intellectual property and brand use

9.1. Hichers grants you a limited, non-exclusive, non-transferable, revocable licence to use Hichers’s name, logo, and approved marketing materials solely for the purpose of promoting Hichers under the Programme, and solely while you remain an active Affiliate in good standing.

9.2. All Hichers intellectual property — including the Hichers name, logo, trademarks, copyrights in marketing materials, software, and all related content — remains the exclusive property of Hichers. Your participation in the Programme does not grant you any ownership interest in any Hichers intellectual property.

9.3. You must not register, attempt to register, or use any trademark, domain name, social media handle, business name, or similar identifier that is identical or confusingly similar to any Hichers mark.

9.4. Upon termination of your participation in the Programme for any reason, you must immediately cease all use of Hichers intellectual property, including removing all Affiliate Links, Hichers logos and any other Hichers-branded materials from your channels.

10. Confidentiality and data protection

10.1. In the course of your participation in the Programme, you may receive non-public information about Hichers, its business, customers, technology, plans, or pricing (“Confidential Information”). You agree to keep all Confidential Information confidential, to use it solely for the purpose of the Programme, and not to disclose it to any third party without our prior written consent.

10.2. Hichers will process your personal data (name, contact details, tax information, bank details, and Programme activity) in accordance with our Privacy Policy. The lawful basis for processing is the performance of the contract represented by these Affiliate Terms, and our legitimate interests in operating and improving the Programme.

10.3. You agree to comply with the UK GDPR and the UK Data Protection Act 2018 in respect of any personal data you process in connection with the Programme, including (without limitation) any data you collect from prospective Referred Shops via your channels. You are solely responsible for the lawful basis on which you process such data.

11. Term and termination

11.1. Your participation in the Programme begins when Hichers approves your application and continues until terminated in accordance with this clause.

11.2. Termination by you. You may terminate your participation in the Programme at any time by giving notice to Hichers in writing or via your Affiliate dashboard. Upon voluntary termination by you, all Referred Shops attributed to you before termination continue to earn commission in accordance with these Affiliate Terms for the life of those attributions, payable on the normal quarterly schedule.

11.3. Termination by Hichers without cause. Hichers may terminate your participation in the Programme without cause by giving you 30 days’ written notice. In such case, all Referred Shops attributed to you before termination continue to earn commission in accordance with these Affiliate Terms for the life of those attributions, payable on the normal quarterly schedule.

11.4. Termination by Hichers for cause. Hichers may terminate your participation in the Programme immediately on written notice in the event that:

  • You materially breach any provision of these Affiliate Terms.
  • You engage in fraud, attempted fraud, or Self-Referral (clauses 7 and 8).
  • You make false, misleading or defamatory statements about Hichers.
  • You infringe Hichers’s intellectual property rights.
  • You breach any applicable law in connection with your participation in the Programme.
  • You become insolvent, enter administration, are subject to a winding-up petition, or otherwise become unable to perform your obligations under these Affiliate Terms.

11.5. Consequences of termination for cause. If Hichers terminates your participation for cause, all your rights under the Programme cease immediately. Any unpaid commission, accrued or otherwise, is forfeited. Hichers reserves the right to claw back any commission previously paid that is attributable to the conduct giving rise to the termination, and to pursue any other remedies available at law or in equity.

11.6. Programme closure. Hichers may close the Programme in its entirety at any time by giving Affiliates 90 days’ written notice. In such case, Referred Shops attributed to you before the closure date continue to earn commission for the duration of their attribution (as defined in clauses 3 and 5), payable on the normal schedule.

11.7. Clauses 6 (in respect of commissions accrued before termination), 8, 9.2, 10, 12, 13, 14, 15, 16 and 17 survive termination.

12. Changes to these Affiliate Terms

12.1. Hichers may amend these Affiliate Terms from time to time. Where changes are material — for example, changes to commission rates, payout cadence, attribution rules, or termination provisions — we will give Affiliates at least 30 days’ written notice (by email and via the Affiliate dashboard) before the changes take effect.

12.2. If you do not accept the changes, you may terminate your participation in the Programme under clause 11.2. Termination on this basis preserves your rights in respect of existing attributions.

12.3. Continued participation in the Programme after the notice period constitutes acceptance of the amended terms.

12.4. Existing attributions. Changes to commission rates do not retroactively apply to attributions made before the change took effect. The rates in force when a Referred Shop was attributed continue to apply for the life of that attribution.

13. Limitation of liability

13.1. Nothing in these Affiliate Terms limits or excludes Hichers’s liability for (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; or (c) any other liability that cannot lawfully be limited or excluded.

13.2. Subject to clause 13.1, Hichers’s total aggregate liability to you under or in connection with these Affiliate Terms, whether in contract, tort (including negligence), breach of statutory duty or otherwise, is limited to the total commission actually paid to you in the 12 months preceding the event giving rise to the claim.

13.3. Subject to clause 13.1, Hichers is not liable for any indirect, special, incidental, consequential or punitive damages, including loss of profits, loss of revenue, loss of business, loss of goodwill, loss of data, or loss of anticipated commission, even if Hichers has been advised of the possibility of such damages.

13.4. The Programme is provided “as is” and “as available”. Hichers makes no warranty that the Programme, the Affiliate Links, the attribution system, or the Affiliate dashboard will be uninterrupted, error-free, or free from defects. To the fullest extent permitted by law, Hichers disclaims all implied warranties, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

14. Indemnification

14.1. You agree to indemnify and hold harmless Hichers, its officers, directors, employees, agents and contractors from and against any and all claims, demands, losses, damages, costs and expenses (including reasonable solicitor’s fees) arising out of or in connection with:

  • Your breach of these Affiliate Terms.
  • Your promotion of Hichers, including any claims you make about Hichers’s services.
  • Your processing of any personal data in connection with the Programme.
  • Your infringement of any third party’s rights, including intellectual property rights and privacy rights.
  • Any tax, social security, or other amount Hichers is required to pay to a tax authority in respect of payments made to you, where such liability arises from your failure to comply with your tax obligations.

15. General

15.1. Entire agreement. These Affiliate Terms, together with the documents incorporated by reference, constitute the entire agreement between you and Hichers in respect of the Programme and supersede any prior agreements or understandings.

15.2. Assignment. You may not assign or transfer your rights or obligations under these Affiliate Terms without Hichers’s prior written consent. Hichers may assign these Affiliate Terms to any successor in interest, including in connection with a sale of all or substantially all of its business or assets.

15.3. Waiver. No failure or delay by Hichers in exercising any right under these Affiliate Terms constitutes a waiver of that right.

15.4. Severability. If any provision of these Affiliate Terms is held to be invalid or unenforceable, the remaining provisions remain in full force and effect.

15.5. Notices. Notices to you may be given by email to the address on your Affiliate account or by message in your Affiliate dashboard. Notices to Hichers should be sent to support@aureans.com.

15.6. Force majeure. Neither party is liable for any failure or delay in performance to the extent caused by circumstances beyond its reasonable control, including acts of God, war, terrorism, civil unrest, natural disaster, pandemic, government action, or failure of telecommunications or internet services.

15.7. Third-party rights. A person who is not a party to these Affiliate Terms has no rights under the Contracts (Rights of Third Parties) Act 1999 to enforce any provision of these Affiliate Terms.

16. Governing law and jurisdiction

16.1. These Affiliate Terms are governed by the laws of England and Wales.

16.2. The courts of England and Wales have exclusive jurisdiction to settle any dispute or claim arising out of or in connection with these Affiliate Terms or their subject matter.
